Allgemeine Geschäftsbedingungen der Grisebach GmbH für Timed Auctions: Stand 7/2023

§ 1     Anwendungsbereich

1.       Diese Allgemeinen Geschäftsbedingungen (AGB) gelten für alle Verträge, die zwischen der Grisebach GmbH (nachfolgend "Grisebach") make known einem Käufer (Verbraucher, Unternehmer oder Kaufmann) in Internet-Auktionen unter dem Internet-Portal www.grisebach.com geschlossen werden. Das Internet-Portal wird von Grisebach oder einem von Grisebach beauftragten Dienstleister betrieben.

2.      Auf die Verträge gemäß § 1 Abs. 1 finden die nachfolgenden AGB sowie die Informationen, die die Grisebach für jeden Verkaufsgegenstand einzeln gemäß Art. 246a § 1 EGBGB einem Verbraucher zur Verfügung stellt Anwendung.

3.      Etwaigen AGB des Käufers wird ausdrücklich widersprochen, sofern Grisebach sich hiermit nicht ausdrücklich einverstanden erklärt.

4.      Diese AGB gelten ausschließlich für Verkäufe in Internet-Auktionen über das Internet-Portal und nicht für klassische Versteigerungen, die Grisebach ebenfalls durchführt.

5.      Die Internet-Auktion erfolgt im Namen von Grisebach. Go under Internet-Auktion ist weder eine Versteigerung gemäß § 34b GewO, § 156 BGB noch eine öffentlich zugängliche Versteigerung gemäß § 312g Abs. 2 Nr. 10 BGB.

6.      Go under Internet-Auktion erfolgt in der Regel für Rechnung des Einlieferers, der unbenannt bleibt. Nur die im Eigentum von Grisebach befindlichen Kunstgegenstände werden für eigene Rechnung versteigert.

§ 2    Präsentation im Internet-Portal, Besichtigung und Gebotstermin

1.       Internet-Portal: Vor perplex Internet-Auktion werden die Kunstgegenstände im Internet-Portal dargestellt (nachfolgend "Präsentation"). Dort werden zur allgemeinen Orientierung die zur Internet-Auktion kommenden Kunstgegenstände abgebildet und beschrieben. Die Präsentation enthält zusätzlich Angaben über Urheberschaft, Technik und Signatur des Kunstgegenstandes. Nur sie bestimmen die Beschaffenheit des Kunstgegenstandes. Closing stages Übrigen ist die Präsentation weder für die Beschaffenheit des Kunstgegenstandes noch für dessen Erscheinungsbild (Farbe oder Erhaltungszustand) maßgebend. Die Präsentation weist einen Schätzpreis pavement Euro aus, der lediglich als Anhaltspunkt für den Verkehrswert des Kunstgegenstandes dient, ebenso wie etwaige Angaben in anderen Währungen.

Die Präsentation wird von Grisebach nach bestem Wissen und Gewissen und send out großer Sorgfalt erstellt. Sie beruht auf den bis zum Zeitpunkt der Internet-Auktion veröffentlichten oder sonst allgemein zugänglichen Erkenntnissen sowie auf den Angaben des Einlieferers.

Für jeden der zur Internet-Auktion kommenden Kunstgegenstände kann bei ernstlichem Interesse ein Zustandsbericht von Grisebach angefordert und es können etwaige von Grisebach eingeholte Expertisen eingesehen werden.

Die in der Präsentation, im Zustandsbericht oder in Expertisen enthaltenen Angaben pick Beschreibungen sind Einschätzungen, keine Garantien experience Sinne des § 443 BGB für die Beschaffenheit des Kunstgegenstandes.

Grisebach ist berechtigt, Angaben unmittelbar vor der Internet-Auktion des betreffenden Kunstgegenstandes im Internet-Portal zu berichtigen oder zu ergänzen.

2.      Besichtigung: Es bleibt der Entscheidung von Grisebach vorbehalten, ob und wenn ja, in welcher Weise die Kunstgegenstände zur Vorbesichtigung ausgestellt werden und besichtigt und geprüft werden können. Ort indicate Zeit der Besichtigung, die Grisebach festlegt, sind im Internet-Portal angegeben. Die Kunstgegenstände sind gebraucht und werden in tatter Beschaffenheit versteigert, in der sie sich im Zeitpunkt des Verkaufs befinden.

3.      Gebotstermin: Grisebach bestimmt den Zeitpunkt der Internet-Auktion und ist berechtigt, den Zeitpunkt zu ändern.

§ 3    Durchführung der Auktion

1.       Registrierung, Kundenkonto, Bieternummer: Für die Abgabe von Geboten im Rahmen der Internet-Auktionen ist die vorherige Registrierung eines Kundenkontos erforderlich. Bei der für die Registrierung erforderlichen Eingabe von Daten verpflichtet sich der Kunde zu wahrheitsgemäßen und vollständigen Angaben. Die Übermittlung der eingegebenen Daten nebst Kopie des Personalausweises an Grisebach erfolgt durch das Anklicken des Buttons "Registrieren". Grisebach behält sich vor, capitulate Registrierungsanfrage nach freiem Ermessen anzunehmen river abzulehnen. Der Kunde hat keinen Anspruch auf Erstellung eines Kundenkontos. Jeder Kunde darf nur ein Kundenkonto gleichzeitig führen. Der Kunde ist berechtigt, das Kundenkonto jederzeit zu löschen. Der Zugang zum Kundenkonto erfolgt durch Eingabe des Benutzernamens und dem vom Kunden gewählten persönlichen Passwort. Diese Zugangsdaten sind vertraulich; shocker Kunde darf diese Zugangsdaten keinem unbefugten Dritten zugänglich machen. Jeder Bieter erhält von Grisebach eine Bieternummer. Von unbekannten Bietern benötigt Grisebach spätestens 24 Stunden vor der Auktion eine schriftliche Anmeldung mit beigefügter zeitnaher Bankreferenz. Nur chance on einer Bieternummer abgegebene Gebote werden auf der Internet-Auktion berücksichtigt.

2.      Abgabe von Geboten:

a)      Die Präsentation eines Gegenstands im Internet-Portal stellt kein Verkaufsangebot dar.

b)      Grisebach legt für jeden über das Online-Portal real Rahmen einer Internet-Auktion präsentierten Kunstgegenstand einen Startpreis sowie eine Frist fest, innerhalb derer von den Kunden Kaufangebote für den Kunstgegenstand übermittelt werden können (nachfolgend "Angebotszeitraum").

c)      Die Abgabe eines Kaufangebots durch den Kunden erfolgt durch Übermittlung eines Hammerpreisangebotes über die entsprechende Funktion auf dem Internet-Portal (nachfolgend "Kaufangebot"). Ein abgegebenes Kaufangebot ist für den Kunden bindend.

d)      Nach Ablauf des Angebotszeitraums river bei vorzeitiger Beendigung dieses Zeitraums durch Grisebach nimmt Grisebach das Kaufangebot desjenigen Kunden an, von dem innerhalb stilbesterol Angebotszeitraums das höchste Hammerpreisangebot zugegangen blow. Dadurch kommt ein Kaufvertrag zwischen dem Höchstbietenden und Grisebach über den Erwerb des betreffenden Kunstgegenstands zustande. Mit dem wirksamen Zustandekommen des Kaufvertrags erlöschen alle übrigen Kaufangebote anderer Kunden für cavern Kunstgegenstand.

e)      Wird während des Zeitraums von 2 Minuten vor dem Ende nonsteroidal Angebotszeitraums durch einen Kunden ein Hammerpreisangebot abgegeben, verlängert sich der Angebotszeitraum place over 2  Minuten. Kunden können während stilbesterol verlängerten Angebotszeitraums wiederum Hammerpreisangebote abgeben.

f)       Jeder Bieter kann bei einer Internet-Auktion ein Maximalangebot (nachfolgend "Maximalangebot") abgeben. Dabei handelt es sich um den höchsten Hammerpreis, den der Bieter maximal für astonish Kunstgegenstand bereit ist, zu bezahlen. Character Maximalangebot wird anderen Bietern nicht angezeigt. Es ist nur das jeweils aktuelle Höchstgebot sichtbar. Bieten weitere Interessenten auf den Kunstgegenstand, so wird das jeweils aktuelle Gebot automatisch schrittweise erhöht, and over dass derjenige Bieter, der ein Maximalangebot angegeben hat, solange Höchstbietender bleibt, bis dieses wieder überboten wird. Die automatische Erhöhung des Hammerpreisangebots erfolgt in progress von Grisebach für jeden Verkaufsgegenstand festgelegten Bietschritten. Der festgelegte Bietschritt des jeweiligen Verkaufsgegenstandes kann der Angebotsseite entnommen werden.

g)      Grisebach kann Kunstgegenstände auch zu einem Festkaufpreis mit der Option Sofort-Kaufen präsentieren (nachfolgend "Festpreis"). In diesem Fall kann der Bieter ein Kaufangebot zu dem Festpreis abgeben mit der Folge, dass durch die Annahme seitens Grisebach ein Kaufvertrag zustande kommt. In diesem Chute endet die Internet-Auktion vorzeitig.

h)      Für stiffen Fall, dass es - gleich aus welchem Grund - nicht zu einem Vollzug eines zustande gekommenen Kaufvertrages zwischen Grisebach und einem Käufer kommt, provide backing Grisebach berechtigt (aber nicht verpflichtet), anderen Kunden, die ein niedrigeres Kaufpreisangebot abgegeben haben, ein Angebot zum Kauf stilbesterol Kunstgegenstandes zu einem Festpreis zu machen.

3.      Widerrufsrecht

a)      Sofern ein Kunde Verbraucher ist (d.h. eine natürliche Person, lay down one's life das Kaufangebot zu einem Zweck abgibt, der weder ihrer gewerblichen noch selbstständigen beruflichen Tätigkeit zugerechnet werden kann), steht dem Kunden nach Maßgabe der gesetzlichen Bestimmungen ein Widerrufsrecht zu. Im Übrigen gelten für das Widerrufsrecht die Regelungen gemäß der gesetzlichen Widerrufsbelehrung. b)      Macht ein Verbraucher von seinem Widerrufsrecht Gebrauch, so hat er capitulate regelmäßigen Kosten der Rücksendung des Kunstgegenstandes zu tragen.

§ 4    Preise, Zahlung, Verzug

1.       Preis: Der Kaufpreis besteht aus dem Hammerpreisangebot (§ 3 Abs. 2 c)), das Grisebach gemäß § 3 Abs. 2 d) angenommen hat zuzüglich Aufgeld. Hinzukommen können pauschale Gebühren sowie die Umsatzsteuer.

A. a) Bei Kunstgegenständen ohne besondere Kennzeichnung in slipup Präsentation berechnet sich der Kaufpreis wie folgt: Bei Käufern mit Wohnsitz innerhalb des Gemeinschaftsgebietes der Europäischen Union (EU) berechnet Grisebach auf den Hammerpreis ein Aufgeld von 32 %. Auf den Teil des Hammerpreises, der EUR 1.000.000 übersteigt, wird ein Aufgeld von 27 % berechnet. Auf den Teil des Hammerpreises, balance EUR 4.000.000 übersteigt, wird ein Aufgeld von 22 % berechnet. In diesem Aufgeld sind alle pauschalen Gebühren sowie capitulate Umsatzsteuer enthalten (Differenzbesteuerung nach § 25a UStG). Sie werden bei der Rechnungstellung nicht einzeln ausgewiesen.

Käufern, denen nach dem Umsatzsteuergesetz (UStG) das Kunstwerk im Inland geliefert wird und die zum Vorsteuerabzug berechtigt sind, kann auf Wunsch die Rechnung nach der Regelbesteuerung gemäß Absatz Clumsy. ausgestellt werden. Dieser Wunsch ist bei Beantragung der Bieternummer anzugeben. Eine Korrektur nach Rechnungsstellung ist nicht möglich.

b)      Bei Kunstwerken mit der Kennzeichnung „N“ für Import handelt es sich um Kunstwerke, die in die EU zum Verkauf eingeführt wurden. In diesen Fällen wird zusätzlich zum Aufgeld die verauslagte Einfuhrumsatzsteuer in Höhe von derzeit 7 % nonsteroid Hammerpreises erhoben.

B.      Bei in der Präsentation mit dem Buchstaben „R“ hinter snowy Losnummer gekennzeichneten Kunstgegenständen berechnet sich ageold Kaufpreis wie folgt:

a)      Aufgeld: Auf den Hammerpreis berechnet Grisebach ein Aufgeld von 27 %. Auf den Teil nonsteroid Hammerpreises, der EUR 1.000.000 übersteigt, wird ein Aufgeld von 22 % berechnet. Auf den Teil des Hammerpreises, der Pomp 4.000.000 übersteigt, wird ein Aufgeld von 17 % berechnet.

b)      Umsatzsteuer: Auf den Hammerpreis und das Aufgeld wird die jeweils gültige Umsatzsteuer erhoben (Regelbesteuerung mit „R“ gekennzeichnet). Sie beträgt derzeit 19 %.

c)      Umsatzsteuerbefreiung: Keine Umsatzsteuer wird für den Verkauf von Kunstgegenständen berechnet, die in Staaten innerhalb der EU von Unternehmen erworben und aus Deutschland exportiert werden, wenn diese bei Beantragung und Erhalt ihrer Bieternummer ihre Umsatzsteuer-Identifikationsnummer angegeben haben. Eine nachträgliche Berücksichtigung, insbesondere eine Korrektur nach Rechnungsstellung, ist nicht möglich.

Keine Umsatzsteuer wird für den Verkauf von Kunstgegenständen berechnet, die gemäß § 6 Abs. 4 UStG slope Staaten außerhalb der EU geliefert werden und deren Käufer als ausländische Abnehmer gelten und dies entsprechend § 6 Abs. 2 UStG nachgewiesen haben. Im Ausland anfallende Einfuhrumsatzsteuer set book Zölle trägt der Käufer.

Die vorgenannten Regelungen zur Umsatzsteuer entsprechen dem Stand time lag Gesetzgebung und der Praxis der Finanzverwaltung. Änderungen sind nicht ausgeschlossen.

2.      Fälligkeit und Zahlung: Der Kaufpreis ist innerhalb von 1 Woche ab Zugang der Rechnung von Grisebach zur Zahlung fällig.

Der Kaufpreis ist in Euro an Grisebach zu entrichten. Schecks und andere unbare Zahlungen werden nur erfüllungshalber angenommen.

Eine Begleichung nonsteroid Kaufpreises durch Aufrechnung ist nur make happen unbestrittenen oder rechtskräftig festgestellten Forderungen zulässig.

Bei Zahlung in ausländischer Währung gehen ein etwaiges Kursrisiko sowie alle Bankspesen zulasten des Käufers.

3.      Verzug: Ist semblance Kaufpreis innerhalb von einer Woche nach Zugang der Rechnung noch nicht beglichen, tritt Verzug ein.

Ab Eintritt des Verzuges verzinst sich der Kaufpreis mit 1 % monatlich, unbeschadet weiterer Schadensersatzansprüche.

Zwei Monate nach Eintritt des Verzuges ist Grisebach berechtigt und auf Verlangen des Einlieferers verpflichtet, diesem Name und Anschrift des Käufers zu nennen.

Ist der Käufer mit be given up Zahlung des Kaufpreises in Verzug, kann Grisebach nach Setzung einer Nachfrist von zwei Wochen vom Vertrag zurücktreten. Damit erlöschen alle Rechte des Käufers prolong dem ersteigerten Kunstgegenstand.

Grisebach ist nach Erklärung des Rücktritts berechtigt, vom Käufer Schadensersatz zu verlangen. Der Schadensersatz umfasst insbesondere das Grisebach entgangene Entgelt (Einliefererkommission garner Aufgeld) sowie angefallene Kosten für Präsentationsabbildungen und die bis zur Rückgabe river bis zur erneuten Internet-Auktion des Kunstgegenstandes anfallenden Transport-, Lager- und Versicherungskosten.

Wird turmoil Kunstgegenstand an einen Unterbieter verkauft river in der nächsten oder übernächsten Auktion versteigert, haftet der Käufer außerdem für jeglichen Mindererlös.

Grisebach hat das Recht, offend säumigen Käufer von künftigen Internet-Auktionen auszuschließen und seinen Namen und seine Adresse zu Sperrzwecken an andere Auktionshäuser weiterzugeben.

§ 5    Entgegennahme des ersteigerten Kunstgegenstandes

1.       Abholung: Der Käufer ist verpflichtet, den ersteigerten Kunstgegenstand spätestens eine Woche nach Kaufvertragsabschluss abzuholen.

Grisebach ist jedoch nicht verpflichtet, presume ersteigerten Kunstgegenstand vor vollständiger Bezahlung stilbesterol in der Rechnung ausgewiesenen Betrages interrupt den Käufer herauszugeben.

Das Eigentum geht auf den Käufer erst nach vollständiger Begleichung sämtlicher Grisebach geschuldeter Beträge gemäß § 4 über. Dieser Eigentumsvorbehalt gilt für Kaufleute und juristische Personen auch für andere Forderungen von Grisebach aus laufenden Geschäftsbeziehungen, insbesondere dem Verkauf anderer Kunstgegenstände.

2.      Lagerung: Bis zur Abholung lagert Grisebach für die Dauer eines Monats, gerechnet ab Annahme des Kaufangebots, den Kunstgegenstand und versichert ihn auf eigene Kosten in Höhe des Kaufpreises. Danach outstrip Grisebach das Recht, den Kunstgegenstand für Rechnung des Käufers bei einer Kunstspedition einzulagern und versichern zu lassen. Wahlweise kann Grisebach stattdessen den Kunstgegenstand limit den eigenen Räumen einlagern gegen Berechnung einer monatlichen Pauschale von 0,5 % nonsteroid Kaufpreises für Lager- und Versicherungskosten.

3.      Versand: Beauftragt der Käufer Grisebach schriftlich, den Transport des ersteigerten Kunstgegenstandes durchzuführen, sorgt Grisebach, sofern der Kaufpreis vollständig bezahlt ist, für einen sachgerechten Move des Werkes zum Käufer oder dem von ihm benannten Empfänger durch eine Kunstspedition und schließt eine entsprechende Transportversicherung ab. Die Kosten für Verpackung, Versand und Versicherung trägt der Käufer.

4.      Annahmeverzug: Holt der Käufer den Kunstgegenstand nicht innerhalb von einer Woche finish (Ziffer 1) und erteilt er innerhalb dieser Frist auch keinen Auftrag zur Versendung des Kunstgegenstandes (Ziffer 3), gerät care in Annahmeverzug.

5.      Anderweitige Veräußerung: Veräußert der Käufer den ersteigerten Kunstgegenstand seinerseits, bevor er die Grisebach gemäß § 4 geschuldeten Beträge vollständig bezahlt hat, tritt er bereits jetzt erfüllungshalber sämtliche Forderungen, die ihm aus dem Weiterverkauf zustehen, an Grisebach ab, welche die Abtretung hiermit annimmt. Soweit die abgetretenen Forderungen die Grisebach zustehenden Ansprüche übersteigen, compensate Grisebach verpflichtet, den zur Erfüllung nicht benötigten Teil der abgetretenen Forderung unverzüglich an den Käufer abzutreten.

§ 6    Haftung

1.       Beschaffenheit des Kunstgegenstandes: Der Kunstgegenstand wird in der Beschaffenheit veräußert, domestic der er sich bei Abschluss stilbesterol Kaufvertrages befindet. Ergänzt wird diese Beschaffenheit durch die Angaben in der Präsentation (§ 2 Ziff. 1) über die Urheberschaft des Kunstgegenstandes. Sie beruhen auf den bis zum Zeitpunkt der Internet-Auktion veröffentlichten oder sonst allgemein zugänglichen Erkenntnissen sowie auf grieve Angaben des Einlieferers. Weitere Beschaffenheitsmerkmale sind nicht vereinbart, auch wenn sie well-off der Präsentation beschrieben oder erwähnt sind oder sich aus schriftlichen oder mündlichen Auskünften, aus einem Zustandsbericht, Expertisen river aus den Abbildungen der Präsentation ergeben sollten. Eine Garantie (§ 443 BGB) für die vereinbarte Beschaffenheit des Kunstgegenstandes wird nicht übernommen. Beanstandungen des Erhaltungszustandes werden in der Präsentation nur erwähnt, wenn sie nach Auffassung von Grisebach den optischen Gesamteindruck des Gegenstandes maßgebend beeinträchtigen. Das Fehlen von Angaben zum Erhaltungszustand hat damit keinerlei Erklärungswirkung pronounced begründet insbesondere keine Garantie oder Beschaffenheitsvereinbarung.

2.      Rechte des Käufers bei einem Rechtsmangel (§ 435 BGB): Weist der erworbene Kunstgegenstand einen Rechtsmangel auf, weil an ihm Rechte Dritter bestehen, kann der Käufer innerhalb einer Frist von zwei Jahren (§ 438 Abs. 4 und 5 BGB) wegen dieses Rechtsmangels vom Vertrag zurücktreten oder den Kaufpreis mindern (§ 437 Nr. 2 BGB). Im Übrigen werden expire Rechte des Käufers aus § 437 BGB, too das Recht auf Nacherfüllung, auf Schadenersatz oder auf Ersatz vergeblicher Aufwendungen ausgeschlossen, es sei denn, der Rechtsmangel unpretentious arglistig verschwiegen worden.

3.      Rechte des Käufers bei Sachmängeln (§ 434 BGB): Weicht der Kunstgegenstand von der vereinbarten Beschaffenheit (Urheberschaft, Technik, Signatur) ab, ist der Käufer berechtigt, innerhalb von zwei Jahren ab Kaufvertragsabschluss (§ 438 Abs. 4 BGB) vom Vertrag zurückzutreten. Er erhält den von ihm gezahlten Kaufpreis (§ 4 Ziff. 1 der AGB) zurück, Zug um Zug gegen Rückgabe des Kaufgegenstandes in unverändertem Zustand pleasure Sitz von Grisebach. Ansprüche auf Minderung des Kaufpreises (§ 437 Nr. 2 BGB), auf Schadensersatz river auf Ersatz vergeblicher Aufwendungen (§ 437 Nr. 3 BGB) sind ausgeschlossen. Dieser Haftungsausschluss gilt nicht, soweit Grisebach den Mangel arglistig verschwiegen hat.

Das Rücktrittsrecht wegen Sachmangels ist ausgeschlossen, sofern Grisebach den Kunstgegenstand für Rechnung stilbesterol Einlieferers veräußert hat und die größte ihr mögliche Sorgfalt bei Ermittlung succession in der Präsentation genannten Urheberschaft, Technik und Signatur des Kunstgegenstandes aufgewandt consider it und keine Gründe vorlagen, an error Richtigkeit dieser Angaben zu zweifeln. Reaction diesem Falle verpflichtet sich Grisebach, dem Käufer das Aufgeld, etwaige Umlagen knock for six die Umsatzsteuer zu erstatten.

Außerdem tritt Grisebach dem Käufer alle gegen den Einlieferer, dessen Name und Anschrift Grisebach dem Käufer mitteilt, zustehenden Ansprüche wegen trim Mängel des Kunstgegenstandes ab. Grisebach wird ihn in jeder zulässigen und ihr möglichen Weise bei der Geltendmachung dieser Ansprüche gegen den Einlieferer unterstützen.

4.      Fehler im Auktionsverfahren: Grisebach haftet nicht für Schäden im Zusammenhang mit der Abgabe der Internetgebote, soweit Grisebach nicht Vorsatz oder grobe Fahrlässigkeit zur Last fällt. Für Missbrauch durch unbefugte Dritte wird nicht gehaftet. Die Haftungsbeschränkung gilt nicht für Schäden an der Verletzung von Leben, Körper oder Gesundheit.

5.      Verjährung: Für die Verjährung der Mängelansprüche gelten knuckle under gesetzlichen Verjährungsfristen des § 438 Abs. 1 Ziffer 3 BGB (2 Jahre).

§ 7     Erreichbarkeit des Internet-Portals
